1. Provider and scope
The contracting provider is ActinHub (“Provider”, “we”, “us”). These terms apply to organizations that subscribe to or otherwise use ActinHub (“Customer”). ActinHub is intended for commercial and professional use. Consumer use requires an express written agreement.
Individual employees, client contacts, and other authorized users access the service through the Customer’s workspace. The Customer remains responsible for selecting users, assigning permissions, and ensuring that its use of the service is lawful.
2. Formation of contract
Product descriptions and price information are invitations to submit an order unless expressly identified as a binding offer. A contract is formed when we confirm an order, activate a paid subscription, or provide the service under an individually signed agreement. The order confirmation, selected plan, applicable service description, and any data-processing agreement form part of the contract.
3. Service and permitted use
ActinHub supports workforce scheduling, attendance records, leave workflows, staffing requests, client approvals, invoice preparation, payroll exports, reporting, and related communication. The exact functions depend on the subscribed plan, enabled modules, and technical availability.
- The Customer may use the service only for its own lawful business operations and authorized client relationships.
- The Customer must not probe security controls, introduce malicious code, interfere with availability, scrape the service without authorization, or use it to infringe third-party rights.
- The Customer must verify schedules, worked time, rates, invoices, payroll exports, and statutory obligations before relying on or submitting them.
- Automated matching and reports are decision-support tools. Employment, assignment, approval, and payment decisions remain with authorized people.
4. Accounts and access security
Users must provide accurate information, protect authentication credentials, and promptly report suspected compromise. Accounts are personal unless the contract explicitly provides otherwise. The Customer must promptly revoke access when a person changes role, leaves the organization, or no longer requires access. Actions performed through a properly authenticated account are attributed to the Customer unless the Customer proves unauthorized use outside its responsibility.
5. Customer data and responsibilities
The Customer retains its rights in data entered into the service. The Customer warrants that it has a lawful basis and all required authority to process employee, applicant, client, location, attendance, qualification, billing, and communication data. It must configure retention, permissions, notices, employment rules, break rules, rates, tax treatment, and approval workflows appropriate to its jurisdiction.
The Customer must not upload unnecessary special-category data, unlawful surveillance data, biometric data, access credentials, or documents it is not entitled to process. Client-facing fields must not contain internal pay rates, private HR notes, identity documents, or unrelated personal data.
6. Fees, invoicing, and payment
Subscription fees, billing intervals, included usage, taxes, and payment terms are determined by the accepted order or current plan selection. Unless stated otherwise, prices are exclusive of Danish VAT (moms). The Customer authorizes the agreed payment provider to collect due amounts. Failed or overdue payments may result in reminders, restricted functionality, suspension, statutory interest, and reasonable recovery costs after notice and subject to mandatory Danish law.
Invoices generated by Customers for their own clients are Customer business records. We do not become a party to those underlying staffing or payment relationships.
7. Availability, maintenance, and changes
We operate and maintain the service with reasonable professional care. Temporary interruptions may occur for maintenance, security response, capacity management, third-party failures, or events beyond reasonable control. Where practicable, planned material maintenance will be communicated in advance. We may improve or modify features provided that the core contractual utility is not materially reduced without a corresponding remedy.
8. Intellectual property
The service, software, design, documentation, and related materials remain protected by intellectual-property laws. During the contract, the Customer receives a limited, non-exclusive, non-transferable right to use the service for the agreed purpose. No source-code, resale, sublicensing, or reverse-engineering rights are granted except where mandatory law expressly permits them.
9. Confidentiality and data protection
Each party must protect confidential information using reasonable safeguards and use it only to perform the contract. Statutory disclosure duties remain unaffected. The parties will comply with applicable data-protection law. Where we process personal data on the Customer’s behalf, the parties will conclude an agreement under Article 28 GDPR where required.
10. Warranty and liability
Mandatory rights under Danish law remain unaffected. Nothing excludes liability for fraud, wilful misconduct, gross negligence, death or personal injury, or mandatory product liability. For other breaches, liability is limited to direct and foreseeable loss caused by the breach. To the extent permitted by Danish law, neither party is liable for indirect loss, operating loss, loss of profit, loss of anticipated savings, loss of goodwill, or consequential loss.
The Customer is responsible for professional review of operational and financial outputs, maintaining appropriate internal controls, and retaining any records required outside the service. We are not liable for Customer instructions, inaccurate inputs, unauthorized permissions configured by the Customer, or decisions made solely from unverified exports or recommendations.
11. Term, suspension, and termination
The initial term, renewal, and ordinary notice periods follow the accepted order. The right to terminate for cause remains unaffected. We may suspend affected access where reasonably necessary to address a security threat, unlawful use, material breach, or overdue payment, normally after notice unless immediate action is required. On termination, the Customer should export required data before access ends. Return, retention, and deletion follow the contract, applicable law, and any data-processing agreement.
12. Amendments
We may amend these terms for objectively justified reasons, including changes in law, security, technology, or service structure. Material amendments will be communicated in a durable form with reasonable advance notice. If an amendment materially disadvantages the Customer, the notice will explain any available objection or termination right. Individually negotiated terms take precedence.
13. Governing law and disputes
The agreement is governed by Danish law, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. The parties will first attempt to resolve disputes through good-faith negotiation. If no settlement is reached, disputes are subject to the Danish courts, with the district court serving the Provider’s registered office as the agreed first venue where such an agreement is legally permitted.
If any provision is invalid or unenforceable, the remaining provisions continue in effect. The invalid provision will be replaced by the applicable Danish rule or a valid provision that most closely reflects the original commercial purpose.
